CONFIDENTIALITY AGREEMENT

1. INFORMATION
The broker provides the prospective buyer with confidential information in connection with the potential acquisition of the real estate properties:

Maximilianstraße 47 and Pfarrstraße 16, 80538 Munich, Munich cadastral district, S.2 parcel 2515

(together the “Property”).

This information includes, in particular, exposés, economic data, rental information, plans and other property-related documents (“Confidential Information”).

2. CONFIDENTIALITY
The prospective buyer undertakes to:

  • treat all Confidential Information as strictly confidential;

  • use it exclusively for the purpose of assessing a potential acquisition;

  • not disclose the information to third parties, except to advisors, such as lawyers, tax advisors or banks, who are themselves bound by confidentiality obligations;

  • not reproduce or otherwise use the information, in whole or in part, unless this is necessary for the assessment.

3. RETURN / DESTRUCTION
At the request of the broker or in the event that a transaction does not take place, the prospective buyer undertakes to return or destroy all documents received without delay.

4. LIABILITY
All information provided has been compiled to the best of our knowledge. However, STOCK REAL ESTATE GMBH assumes no liability for its completeness or accuracy.

5. FINAL PROVISIONS

  • Amendments and supplements to this agreement must be made in writing.

  • Should any provision be invalid, the validity of the remaining provisions shall remain unaffected.

  • German law shall apply. The place of jurisdiction shall be Munich, to the extent legally permissible.

BROKERAGE AGREEMENT

By using the documents and information provided by the broker, a brokerage agreement is concluded between the broker and the prospective buyer, to which the following provisions apply.

1. COMMISSION

No costs shall be incurred by the prospective buyer until the acquisition of the property.

In the event of the notarized conclusion of a purchase agreement for the above-mentioned Property or parts thereof, the prospective buyer undertakes to pay the broker a commission for the proof of opportunity and/or brokerage services in the amount of 1.79% of the notarized purchase price, including statutory VAT. Against this background, by signing this agreement, the prospective buyer commissions the broker to act as broker with regard to the aforementioned real estate property.

The commission shall be due and payable upon conclusion of the notarized purchase agreement.

The obligation to pay commission shall also arise if the acquisition is made by a company affiliated with the prospective buyer or by a third party attributable to the prospective buyer.

2. LIABILITY

The broker’s offers are subject to change and non-binding. The property-related information is based on information provided to the broker by the seller. Despite careful preparation of the documents, the broker cannot assume liability for the accuracy and completeness of the information provided by the seller.

Irrespective of the foregoing, the broker and its employees shall be liable without limitation in cases of intent or gross negligence as well as for injury to life, body or health. In the event of a slightly negligent breach of a material contractual obligation, the broker’s liability shall be limited in amount to foreseeable and typical damages.

3. DATA PROTECTION

The prospective buyer consents to the broker collecting, processing and using data arising from this agreement or its performance and transmitting such data to third parties to the extent necessary.

CANCELLATION POLICY FOR CONSUMERS, RIGHT OF WITHDRAWAL

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day of conclusion of the contract.

To exercise your right of withdrawal, you must inform us, STOCK REAL ESTATE GMBH, Claudius-Keller-Straße 3c, 81669 Munich, email: [….], telephone: […], fax: […], by means of a clear declaration, for example a letter sent by post, fax or email, of your decision to withdraw from this contract. You may use the attached model withdrawal form for this purpose, although this is not mandatory.

To comply with the withdrawal period, it is sufficient for you to send the notification of exercising your right of withdrawal before the withdrawal period has expired.

CONSEQUENCES OF WITHDRAWAL
If you withdraw from this contract, we shall reimburse you for all payments we have received from you, including delivery costs, with the exception of any additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us, without undue delay and no later than fourteen days from the day on which we receive notification of your withdrawal from this contract. For this reimbursement, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; under no circumstances will you be charged any fees for this reimbursement.

If you requested that the services begin during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the time at which you inform us of the exercise of the right of withdrawal with regard to this contract, compared to the full scope of the services provided for in the contract.

NOTICE REGARDING THE LOSS OF THE RIGHT OF WITHDRAWAL
Your right of withdrawal expires prematurely in the case of a contract for the provision of services if we have begun performing the services with your express consent and have fully performed the services before the expiry of the withdrawal period.

DECLARATION REGARDING PERFORMANCE OF SERVICES BEFORE EXPIRY OF THE WITHDRAWAL PERIOD
With knowledge of the above cancellation policy and the notice regarding the loss of the right of withdrawal, I/we, as the client, expressly request that STOCK REAL ESTATE GMBH begins providing its services before the expiry of the withdrawal period. I am aware that, in the event of withdrawal, I must pay for services already provided and that I will lose my right of withdrawal if STOCK REAL ESTATE GMBH fully performs the contract.
